Company Secretarial Assistant
Job purpose and key deliverables
A key UK Secretariat team member ensuring best practice statutory compliance for a portfolio of UK subsidiary companies and supporting company secretariat colleagues on plc and other ad hoc compliance and governance projects.
Undertaking day-to-day company secretarial services for a portfolio of companies, ensuring compliance with applicable laws, regulations and governance best practice, including statutory filings.
Organising, attending and minuting board meetings as required, having regard to Functional or Regional need, and in consultation with company secretarial colleagues, Legal Counsel, Finance, Tax and Treasury.
Liaising with and advising the Regions regarding the administration of branch and representative offices of UK subsidiary companies operating overseas and dealing directly with the external notaries to arrange specific notarisations and legalisations to meet overseas corporate law requirements as necessary.
Principal point of contact and driving force in the Group-wide roll-out of the Blueprint Oneworld company secretarial database. Maintaining corporate records and registers using Blueprint Oneworld company secretarial database. Overall responsibility for providing training and support to end-market Legal counsel administering the lower-Group structure.
Reviewing, updating and maintaining the Corporate Structure Charts.
Assisting the Company Secretarial team with significant corporate projects and leading and delivering ad hoc projects to plan and on time.
Assuming company secretarial responsibility for a portfolio of UK subsidiary companies and UK resident foreign entities, including the drafting, approval and sign-off of annual statutory filings and Acting as a single point of contact on secretarial queries relating to portfolio companies.
Liaising with and advising regions with regards to the administration of branch and representative offices of UK subsidiary companies operating overseas, providing powers of attorney and proxies, and dealing with notarisations and legalisations as required.
Acting as the main Company Secretarial contact for UK subsidiary liquidations, liaising with Legal Counsel, Tax and external liquidators to assist with due diligence for proposed liquidations and to drive the overall process forward.
Assume responsibility for the drafting and preparation of the subsidiaries and associated companies list for inclusion in the Group Annual Report, liaising with internal legal counsel in all regions across the Group.
Providing guidance and support to external legal counsel secondees.
Building relationships within the Company Secretarial team, sharing knowledge and experience.
Dealing with our external advisors/service providers, including lawyers, accountants and registrars.
Seeking opportunities to implement best practice through technological, process or other innovation.
Keeping abreast of company secretarial best practice in company law and governance, proposing, implementing and communicating change as necessary
Knowledge, Skills & Experience
A recently qualified Grad ICSA, or preparing for final examinations, you will have some practical company secretarial experience.
You will be comfortable working in a professional and busy team environment, interacting confidently with senior management, BAT colleagues and other professionals, both internally and externally, demonstrating a "can-do" attitude.
High attention to detail with excellent organisational skills.
High level of integrity and personal standards of behaviour in keeping with the professional environment of the Group Head Office.
Self-motivated, pro-active and always looking to contribute to the departments overall objectives.
Flexible attitude, able to cope with unexpected and varied demands.
